Welcome to Khaia.ai (“Khaia”, “we”, “our”, or “us”). These Terms and Conditions (“Terms”) govern your access to and use of our website, mobile application, and related services (collectively, the “Service”). “Content” means all text, graphics, images, audio, video, data, software, information, and other materials that are made available through the Service, including but not limited to AI-generated responses and recommendations.
“Third-Party Services” refers to services, products, or content provided by entities other than Khaia.ai, including but not limited to marinas, restaurants, provisioning companies, and other suppliers.
“Account” means the user profile created when registering with Khaia.ai to access certain features of the Service.
“Booking” means any reservation, order, or request for services (such as docking, dining, provisioning, or deliveries) made through the Service.
“Company”, “we”, “our”, or “us” refers to the legal entity operating the Khaia.ai platform.

2. Eligibility

The Service is intended solely for individuals who are at least 18 years old. By accessing or using the Service, you represent and warrant that you are 18 or older and have the legal capacity to enter into a binding agreement.
You may use the Service only in compliance with these Terms and all applicable local, national, and international laws, rules, and regulations.
The Service may not be available to Users in certain jurisdictions subject to export controls, sanctions, or other legal restrictions. By using the Service, you confirm that you are not located in, under the control of, or a resident of any country to which the United States, the European Union, or other applicable authorities have embargoed goods or services.
If you are using the Service on behalf of a company, organization, or other entity, you represent and warrant that you are authorized to bind such entity to these Terms, and that such entity accepts full responsibility for compliance.

3. Services Provided

Khaia.ai is an AI-powered voice concierge platform designed to assist yacht owners, captains, and guests with trip planning, marina reservations, onboard provisioning, dining recommendations, and related lifestyle services.
The Service may include, but is not limited to:
Itinerary planning (routes, weather insights, fuel estimates).
Docking and marina reservations.
Onboard delivery coordination (meals, beverages, supplies).
Restaurant bookings and local recommendations.
General concierge assistance through AI-driven voice and chat support.
Khaia.ai acts as a technology intermediary that connects Users with Third-Party Services such as marinas, restaurants, suppliers, and service providers.
We are not the direct provider of marina, dining, catering, fueling, cleaning, repair, or other third-party services. Any bookings or purchases made through the Service are fulfilled by independent providers.
While we strive to provide accurate information and smooth coordination, we cannot guarantee the quality, safety, availability, or reliability of services provided by third parties

4. User Responsibilities

By using the Service, you agree to the following obligations:

Provide Accurate Information

You must ensure that all information you provide, including personal details, payment data, and booking requests, is true, accurate, current, and complete.

Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately if you suspect unauthorized access or misuse.

Lawful Use Only

You agree to use the Service only for lawful purposes and in compliance with all applicable laws, maritime regulations, and safety rules.

Prohibited Activities

You may not:

Use the Service for fraudulent, misleading, or unlawful activities.
Resell, sublicense, or otherwise exploit the Service without our prior written consent.
Attempt to interfere with, disrupt, or compromise the security or integrity of the Service.
Use the Service to scrape data, reverse-engineer, or access systems without authorization.
Rely solely on AI suggestions for critical navigation or safety decisions — official maritime sources must always be used.
Prohibited Activities

You are fully responsible for all charges, bookings, and transactions made through your account, whether or not authorized by you.

6. Third-Party Services

The Service may enable you to book, purchase, or interact with services provided by independent third-party companies, including but not limited to marinas, restaurants, catering providers, fuel suppliers, maintenance services, and delivery companies.

Khaia.ai does not own, control, or operate these Third-Party Services. We act solely as a technology platform that connects Users with external providers.

All bookings, purchases, and arrangements are made directly between you and the relevant third-party provider. Their terms, conditions, and privacy policies apply in addition to ours.

We make no representations or warranties regarding the quality, safety, legality, timeliness, or availability of any Third-Party Services.

Liability Disclaimer: We are not responsible for any loss, damage, injury, delay, cancellation, or dissatisfaction arising from Third-Party Services. Any disputes or claims must be addressed directly with the third-party provider.

7. Bookings and Payments

Booking Process When you make a reservation or order through the Service, you authorize Khaia.ai to transmit your request to the relevant Third-Party Service provider. Confirmation of a booking is subject to the provider's acceptance and availability.

Payment Terms

All prices are displayed in the applicable currency unless stated otherwise.
Payments may be processed through third-party payment processors. By providing payment details, you authorize us (or our partners) to charge the applicable fees.
You are responsible for any additional charges, taxes, or fees imposed by third parties (e.g., marina fees, service charges, VAT).

Refunds and Cancellations

Cancellation and refund policies are determined by the relevant Third-Party Service provider.
Khaia.ai is not responsible for issuing refunds unless explicitly stated.
Any disputes regarding cancellations or refunds must be addressed directly with the provider.

Price Changes and Errors We reserve the right to correct errors in pricing or availability and to update or adjust fees at any time. In such cases, you will be notified before confirming payment.

Financial Responsibility You agree that you are financially responsible for all transactions made through your account, including unauthorized charges resulting from your failure to secure your credentials.

8. Intellectual Property

Ownership All rights, title, and interest in and to the Service (including but not limited to software, source code, algorithms, designs, trademarks, logos, AI models, user interface, and all related intellectual property) are and shall remain the exclusive property of Khaia.ai and its licensors.

User License Subject to compliance with these Terms, Khaia.ai grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or authorized business use only.

Restrictions You may not, directly or indirectly:

Copy, modify, distribute, sell, lease, or sublicense any part of the Service.
Reverse engineer, decompile, or attempt to extract the source code of the Service or AI models.
Use our trademarks, branding, or content without prior written permission.

User-Generated Content If you submit feedback, suggestions, or other content through the Service ("User Content"), you grant Khaia.ai a worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, adapt, publish, and incorporate such content for improving the Service.

AI-Generated Content Disclaimer AI-generated responses, recommendations, and outputs provided by the Service are for informational purposes only and remain the intellectual property of Khaia.ai. Users may not reproduce or commercialize such outputs without prior consent, except for personal use.

9. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.

To the fullest extent permitted by law, Khaia.ai disclaims all warranties, including but not limited to:

Warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.
Warranties that the Service will be uninterrupted, error-free, secure, or free from viruses or harmful components.
Warranties regarding the reliability, availability, quality, or suitability of any Third-Party Services booked through the platform.

AI-generated content and recommendations are provided for informational and convenience purposes only. You acknowledge that such outputs may contain inaccuracies or incomplete information, and you agree not to rely on them as a substitute for professional advice, official navigation sources, or safety regulations.

Khaia.ai does not guarantee that bookings, reservations, or deliveries made through the Service will be honored by Third-Party providers.

You assume full responsibility for your use of the Service, including reliance on any information, suggestions, or services obtained through it.

10. Limitation of Liability

To the maximum extent permitted by law, Khaia.ai and its affiliates, officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to:

Loss of profits, revenue, or anticipated savings.
Loss of business opportunities, goodwill, or reputation.
Loss of data or service interruptions.
Delays, cancellations, or failures of Third-Party Services.
Personal injury, property damage, or safety incidents arising from reliance on AI recommendations or Third-Party Services.

In no event shall our total liability to you for all claims arising out of or related to the Service exceed the greater of (a) the amount you paid to us in the six (6) months preceding the claim, or (b) one hundred (100) U.S. dollars.

The limitations above apply regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

Nothing in these Terms shall exclude or limit our liability where it would be unlawful to do so, such as liability for fraud, willful misconduct, or death or personal injury caused by our negligence.

11. Indemnification

You agree to indemnify, defend, and hold harmless Khaia.ai, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to:

Your access to or use of the Service.
Your violation of these Terms or any applicable law or regulation.
Your misuse of AI-generated recommendations, including reliance on them for navigation or safety decisions.
Any bookings, purchases, or arrangements you make with Third-Party Services through the platform.
Any content, data, or information you submit to the Service.

We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such cases, you agree to cooperate with our defense and not to settle any claim without our prior written consent.

12. Termination

Suspension or Termination by Us We may suspend or terminate your access to the Service, in whole or in part, at any time and without prior notice, if:

You violate these Terms or applicable law.
You misuse or abuse the Service, including fraudulent or harmful activity.
We are required to do so by law, regulation, or court order.
We discontinue or materially modify the Service.

Termination by You You may stop using the Service and close your account at any time by following the account deletion instructions (if applicable).

Effect of Termination

Upon termination, your right to access and use the Service will immediately cease.
Any outstanding fees, charges, or obligations incurred prior to termination remain your responsibility.
Sections that, by their nature, should survive termination (e.g., Intellectual Property, Limitation of Liability, Indemnification, Governing Law) shall continue in full force and effect.

13. Governing Law & Jurisdiction

These Terms and any dispute, claim, or controversy arising out of or relating to them, the Service, or your use of the Service shall be governed by and construed in accordance with the laws of Romania, without regard to its conflict of law principles.

You agree that the courts of Satu Mare, Romania shall have exclusive jurisdiction over any dispute or claim arising under or in connection with these Terms.

If you are a consumer resident in the European Union or another jurisdiction that provides mandatory consumer rights, you may also be entitled to bring proceedings in your country of residence under local consumer protection laws.

Nothing in this section shall prevent us from seeking injunctive or equitable relief in any jurisdiction where such relief is necessary to protect our rights.

14. Changes to Terms

We reserve the right to modify, update, or replace these Terms at any time, at our sole discretion.

If we make material changes, we will provide notice by updating the "Last Updated" date at the top of this page and, where appropriate, by email or in-app notification.

It is your responsibility to review these Terms periodically to stay informed of any updates.

Your continued use of the Service after the effective date of any revised Terms constitutes your acceptance of the updated Terms.

If you do not agree to the revised Terms, you must stop using the Service immediately.
